1. Acceptance
These Terms and Conditions ("Terms") govern access to and use of https://www.offnote.in/, related webpages, accounts, content and services operated under the Offnote brand by BARELAB ORGANICS PRIVATE LIMITED.
By accessing the website, creating an account, placing an order or otherwise using the services, you agree to these Terms and the Privacy Policy, Shipping and Delivery Policy, and Returns, Replacements and Refunds Policy. If you do not agree, do not use the website.

3. Eligibility
You must be at least 18 years old and legally capable of entering a binding contract to create an account or place an order. If you use the website for a company or another legal person, you represent that you are authorised to bind that person.
4. Accounts and authentication
You must provide accurate, complete and current information and are responsible for protecting your login and authentication details, activity through your account, and promptly reporting suspected unauthorised use.
Account login, checkout, OTP authentication, address pre-fill, payment gateway services and related transaction functions may be supplied through GoKwik Commerce Solutions Private Limited, with supporting website and data services from Shopify Commerce Singapore Pte. Ltd. and NeuralCore Dynamics Private Limited.
Transactional OTPs and security communications may be sent where reasonably required to authenticate access, process an order, verify a payment, prevent fraud or protect the account. Marketing communications are governed by the Privacy Policy and applicable consent choices.
We may suspend or restrict an account where we reasonably suspect fraud, misuse, security risk or a material breach of these Terms.
5. Product information
We take reasonable care to describe products accurately. However:
- screens and devices may display colours differently;
- product photography may contain props not included with the product;
- packaging, labels or design may change without materially changing the product;
- fragrance perception and performance vary by person and environment;
- fragrance notes describe an intended olfactory profile and do not guarantee that every person will perceive identical notes; and
- longevity and projection statements, unless expressly guaranteed, are indicative and may vary with skin chemistry, climate, storage and application.
The product page, product label, packaging and legally required declarations supplied with the product form part of the product information.
6. Safe use
Products must be used in accordance with their label and intended purpose. Unless expressly stated otherwise:
- fragrance products are for external use only;
- avoid contact with eyes and irritated or broken skin;
- keep away from flame, heat and ignition sources;
- keep out of reach of children;
- discontinue use if irritation or an adverse reaction occurs; and
- seek appropriate medical advice for a serious reaction.
Nothing on the website constitutes medical advice.
7. Prices, taxes and charges
All product prices displayed on Offnote product pages are in Indian rupees and are inclusive of applicable taxes, unless expressly stated otherwise.
Shipping charges, COD charges, discounts and any other compulsory amount applicable to the order will be displayed separately before the order is completed. The total payable amount will be shown before confirmation.
We may change prices prospectively. A price change will not ordinarily affect an order already accepted.
8. Pricing, description and availability errors
Despite reasonable care, a product may occasionally be displayed with an incorrect price, description, promotion or availability status. Where an apparent or material error occurs, we may contact you, correct the error, cancel the affected order and refund any amount paid. We will not use this clause merely because an accepted transaction later becomes commercially inconvenient.
9. Orders and acceptance
An order submitted through the website is an offer to purchase. An automated acknowledgement confirms receipt but does not necessarily constitute final acceptance.
We may decline or cancel an order before dispatch where:
- the product is unavailable;
- payment fails or cannot be verified;
- the price, description or promotion is materially erroneous;
- the delivery address is unserviceable;
- transport restrictions prevent shipment;
- fraud or unauthorised activity is reasonably suspected;
- the quantity reasonably indicates unauthorised resale; or
- acceptance would violate applicable law.
If we cancel a paid order, we will initiate a refund in accordance with the Returns, Replacements and Refunds Policy.
10. Checkout and payment
GoKwik Commerce Solutions Private Limited provides our customer-facing checkout, authentication and payment gateway services. It may process customer, order, device, payment-status and transaction information to initiate and support payment, COD verification, fraud review, checkout recovery, refunds and related transaction services.
Payment authorisation, fund transfer, custody and settlement may involve acquiring banks, card networks, UPI participants, regulated payment aggregators and other payment-system providers integrated through GoKwik. Their terms and privacy notices may apply to the payment service they independently provide.
You represent that you are authorised to use the selected payment method. We do not ordinarily receive or store complete card numbers, CVV, UPI PINs or internet-banking passwords.
We do not control failures or delays within banking or payment networks, but will provide reasonable assistance with transaction tracing and refunds where required.
COD may be available only for eligible orders, values and PIN codes and may be subject to verification or risk review.
11. Promotions
Coupons, discounts, gifts, referral benefits and promotional offers are subject to their stated validity, eligibility and conditions. They may be limited by account, customer, address, device, order or product, may not be combined unless expressly permitted, have no cash value, and may be withdrawn prospectively or cancelled where obtained through fraud, duplication, manipulation or technical error. Promotional terms will be interpreted consistently with applicable consumer law.
12. Shipping and delivery
Shipping and delivery are governed by the Shipping and Delivery Policy.
Delhivery Limited is our primary logistics provider and may perform pickup, transportation, routing, delivery, tracking, delivery authentication, COD handling, reverse logistics and shipment-claim support. We may appoint another authorised logistics provider where reasonably required.
Delivery estimates may be affected by serviceability, product-handling restrictions, courier operations and circumstances outside our reasonable control. You are responsible for providing complete and accurate delivery information.
13. Cancellations, returns and refunds
Cancellations, replacements, store credits and refunds are governed by the Returns, Replacements and Refunds Policy.
Fragrance products are not eligible for a preference-based return after opening or use. This does not exclude remedies for damaged, defective, leaking, incorrect, missing, spurious, materially misdescribed or otherwise non-compliant products, or any other mandatory consumer remedy.
14. Personal-use purchases and resale
Products sold through the website are intended for personal use or bona fide gifting. Without written authorisation, you must not commercially resell products, remove or alter batch or authenticity information, represent yourself as an authorised distributor, procure products for an unauthorised marketplace listing, divert products to an unauthorised channel or engage in counterfeiting or deceptive trade practices. We may impose reasonable quantity limits.
15. Intellectual property
All rights in the Offnote name, logo, product names, packaging, designs, photography, text, graphics, audio, video, website layout, software and other content belong to Barelab or its licensors.
You receive a limited, revocable, non-exclusive right to use the website for lawful personal purposes. You may not reproduce, modify, scrape, distribute, publish, sell, reverse engineer, create derivative works from or commercially exploit website content without written permission, except where law expressly permits.
16. Reviews and user content
Where you submit a review, photograph, video, comment or other content, you represent that it reflects your honest experience, you own it or have permission to submit it, it does not infringe another person's rights, it is not unlawful, abusive, misleading or defamatory, and it does not contain malicious code or undisclosed advertising.
You grant Barelab a worldwide, non-exclusive, royalty-free licence to host, reproduce, adapt, publish and display that content for operating, promoting and improving Offnote, subject to the Privacy Policy and applicable law. We may moderate or remove content but are not required to publish every submission.
17. Prohibited use
You must not use the website unlawfully; attempt unauthorised access; interfere with security or availability; deploy malware, bots or harmful code; scrape or harvest personal data; manipulate reviews, prices or promotions; impersonate another person; submit false payment, delivery or refund information; or use the service to infringe intellectual-property, privacy or other legal rights.
18. Third-party service providers
The website and ordering process rely on third-party services. The principal providers currently include:
- Shopify Commerce Singapore Pte. Ltd.: hosted e-commerce platform, storefront, cart, customer accounts, administration, order management, security, analytics and related Shopify services;
- GoKwik Commerce Solutions Private Limited: checkout, account and OTP authentication, address pre-fill, order creation, checkout optimisation, payment gateway services, payment-status processing, COD verification, fraud and return-to-origin risk tools, refunds and checkout-related communications;
- Delhivery Limited: pickup, transportation, routing, delivery, tracking, delivery authentication, COD handling, reverse logistics and shipment claims;
- NeuralCore Dynamics Private Limited: primary consumer-data processing, customer-data infrastructure, analytics, reporting, segmentation, personalisation, automation, customer-support integrations and related technical services; and
- banks, payment aggregators, card networks, UPI participants and other financial-service providers: payment authorisation, fund transfer, settlement, refunds, chargebacks and payment compliance.
These providers do not become the seller of Offnote products merely because their technology or services are used. The contract for the sale of Offnote products remains between you and BARELAB ORGANICS PRIVATE LIMITED, unless another seller is expressly identified for a particular transaction.
A provider's own terms or privacy notice may apply where you directly use a service it independently provides or where it independently determines part of the processing. Those terms apply only to the relevant service and do not exclude Barelab's obligations as seller or Data Fiduciary, or reduce any non-waivable consumer right.
We may replace, add, suspend or discontinue a provider or integration where reasonably required for operations, security, compliance or service quality.
19. Website and service availability
We do not guarantee uninterrupted or error-free availability of the website, account, checkout, payment, authentication, tracking or related services. Shopify, GoKwik, Delhivery, NeuralCore, payment providers and telecommunications networks may experience maintenance, delay, outage or suspension outside our reasonable control.
We may temporarily restrict access for maintenance, security, upgrades, operational changes, legal compliance or events outside reasonable control. This clause will not be used to avoid a confirmed order, refund or statutory obligation.
20. Disclaimer
To the maximum extent permitted by law, the website and general informational content are provided on an as-available basis. We do not disclaim product quality expressly promised by us, liability for fraud or wilful misconduct, liability that cannot lawfully be excluded, or statutory consumer rights.
21. Limitation of liability
To the maximum extent permitted by law, Barelab will not be liable for indirect, incidental, special or consequential loss arising from use of the website where such loss was not reasonably foreseeable.
For a claim directly relating to a purchased product, our aggregate contractual liability will ordinarily not exceed the amount paid for the affected product, except where a higher liability or remedy is required by law.
The limitations in this section do not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of confidentiality, unlawful personal-data processing or a personal-data breach for which liability cannot lawfully be excluded, product liability under applicable consumer law, or any refund, compensation or liability that cannot lawfully be limited.
22. Indemnity
You agree to indemnify Barelab against third-party claims and reasonable losses caused by your unlawful use of the website, infringement of another person's rights, fraud or material breach of these Terms. This clause does not require a consumer to indemnify Barelab for Barelab's own breach, negligence or unlawful conduct.
23. Force majeure
Neither party will be liable for delay caused by events beyond reasonable control, subject to mandatory consumer remedies. Such events may include natural disaster, fire, flood, epidemic, government action, war, civil disturbance, labour disruption, transport shutdown, cyber incident or major network failure.
24. Privacy and data processing
Personal data is processed in accordance with the Privacy Policy.
BARELAB ORGANICS PRIVATE LIMITED is the Data Fiduciary for the Offnote website and direct customer relationship. NeuralCore Dynamics Private Limited, GoKwik Commerce Solutions Private Limited, Shopify Commerce Singapore Pte. Ltd., Delhivery Limited and other authorised providers may process personal data for the functions described in the Privacy Policy.
Information reasonably required to provide the website, authentication, checkout, payment, order, delivery, refund, support, analytics, fraud-prevention and security functions may be transmitted to the relevant provider. Optional marketing, personalisation and non-essential analytics remain subject to applicable law and consent choices.
25. Suspension and termination
We may restrict or terminate access where reasonably necessary to address fraud, security risk, repeated abuse, unlawful activity or a material breach of these Terms. Termination does not remove rights or obligations arising from an existing order, refund, complaint or legal claim.
26. Changes to these Terms
We may update these Terms prospectively. The revised Terms will be published with an updated date. A material change will not retrospectively deprive you of an accrued consumer right. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law.
27. Governing law and jurisdiction
These Terms are governed by the laws of India.
Nothing in these Terms limits a consumer's right to approach any consumer commission, court, regulator or statutory authority having jurisdiction under applicable law.
Subject to those mandatory rights, the courts at Gurugram, Haryana will have jurisdiction over disputes arising from these Terms or the Offnote website.
28. Severability and waiver
If a provision is held invalid or unenforceable, it will be limited or removed only to the minimum extent required and the remaining provisions will continue. A failure to enforce a provision on one occasion does not waive the right to enforce it later.
29. Assignment
You may not transfer your contractual rights or obligations without our written consent. Barelab may transfer the website or related rights and obligations as part of a lawful restructuring, financing, merger, acquisition or business transfer, subject to applicable consumer and privacy protections.
